Adam Crozier, CEO of ITV plc, and Paul Spence, who until recently was deputy group general manager for Capgemini, will join the board as non-executive directors on 1 January 2013. Tim Weller, CFO of Petrofac Limited, will join the board on 1 April 2013.

Commenting on the new appointments, John Connolly, G4S chairman said:

Adam Crozier’s wide-ranging experience of business transformation in a number of public and private sector organisations in the media, logistics and retail sectors will be very valuable to the board.

In addition to his in-depth knowledge of outsourcing in both the public and private sectors, Paul Spence brings extensive international experience in key developing countries such as India, China and Brazil – all key growth markets for G4S.

Tim Weller’s broad knowledge of the energy and utilities sectors - which are key strategic sectors for G4S - together with his experience of leading complex projects in strong international businesses, will also be beneficial to the group’s development and expansion plans.

G4S also announces today that, having completed nine years on the board, Bo Lerenius and Lord Condon will be retiring from the Board following the company’s Annual General Meeting in June 2013, at which time the role of Senior Independent Director, currently held by Lord Condon, will be undertaken by Mark Elliott.

Commenting on the forthcoming retirements of Lord Condon and Bo Lerenius, John Connolly added:

“Paul and Bo have played important roles on the board during the last nine years during which time G4S has almost tripled its revenues and profits as well as significantly expanding its coverage in key growth markets and sectors. Biographies:

Adam Crozier

Starting his career with Mars before joining the Daily Telegraph, Adam Crozier joined Saatchi and Saatchi in 1988 where he became joint chief executive in 1995.

In 2000, he became chief executive of the Football Association and in 2003 he was appointed chief executive of the Royal Mail Group where he oversaw an extensive programme of modernisation and change to enable the business to compete in the UK and international marketplaces.

Since April 2010, Adam has been chief executive of ITV plc, the UK’s largest commercial broadcaster, where he instigated a five year transformation plan to turn the business around and to invest in growing the company’s production arm both in the UK and internationally. Until recently he was also a member of the board of Debenhams plc where he had served since 2006.

Paul Spence

An economist by training, Paul Spence served a thirty year career with Capgemini and its predecessors.

Having started his career in the United States and becoming Managing Partner of Information Technology for Ernst & Young Northeast Management Consulting (US), he went on to gain significant international experience for the following 16 years during which time he held successively the positions of Managing Partner of Ernst & Young Consulting Australia, CEO of Capgemini Ernst & Young Asia Pacific based in Hong Kong and CEO of Capgemini Ernst & Young UK.

During the last eight years, and until earlier this year, Paul served on Capgemini’s executive management committee during which time his roles included deputy group general manager and development director of Capgemini and CEO of Capgemini Global Outsourcing Services.

Tim Weller

An accountant by training, Tim Weller joined KPMG in 1985 gaining significant experience of the energy sector during the following 12 years and rising to partnership in 1997 before joining Granada plc as director of financial control.

Between 2002 and 2010, Tim gained significant further experience in the energy and utilities sectors holding CFO positions with Innogy (one of the UK’s leading integrated energy companies at the time), RWE Thames Water (the world’s third largest water and wastewater service company) and United Utilities Group PLC, a UK-based water and wastewater service company.

Tim was Chief Financial Officer of Cable & Wireless Worldwide plc between 2010 and 2011 and is currently CFO of Petrofac Limited, the FTSE100 international oil and gas service provider and a non-executive director of BBC Worldwide and the Carbon Trust.
