Corporate Social Responsibility Policy

As formulated by the Corporate Social Responsibility Committee (“CSR Committee”) of the Board of Directors of :

  • G4S Corporate Services (India) Private Limited
  • G4S Secure Solutions (India) Private Limited
  • G4S Facility Services (India) Private Limited 
  • G4S IT Services (India) Private Limited

    Collectively referred to as *G4S India*
 

I. CSR INITIATIVES

G4S India companies through its CSR initiatives, proposes to enhance value creation in the society and in the community in which it operates, through its services, conduct and initiatives, so as to promote sustained growth for the society and community, in fulfilment of its role as a socially responsible corporate.
 
It seeks to actively contribute to the social and economic development of the communities. This includes building a better, sustainable way of life for the weaker sections of society.

II. OUR VISION

This Corporate Social Responsibility Policy encompasses our philosophy, setting out our role as a responsible corporate citizen and lays down guidelines for undertaking programmes for the benefit of different segments of society. 

This Policy shall operate as the corporate social responsibility policy of the Company for the purposes of Section 135 of the Companies Act, 2013 and the rules made thereunder including the Companies (Corporate Social Responsibility Policy) Rules 2014 (“CSR Rules”) and other applicable provisions, as amended from time to time.


III. CSR PROGRAMMES AND PROJECTS 

We propose to adopt one or more of the CSR activities as prescribed by applicable laws, including Schedule VII of the Companies Act, 2013, as amended from time to time.

The CSR Committees will annually recommend the CSR programmes and projects out of permissible CSR activities including the programmes as mentioned in Annexure A to their Board for their approval (“CSR Projects”). The Board of Directors of the Companies through their CSR Committees will plan and monitor the expenditure of CSR activities.

The CSR projects and programmes will be undertaken by the Companies by itself or with joint and collaborative efforts of other companies. 

As per the provisions of the Companies Act, 2013 and rules made thereunder, amended from time to time, CSR projects and programmes may also be implemented through registered trust or registered society or company established under section 8 of the Companies Act, 2013 by the companies, either singly or along with its holding or subsidiary or associate company, or along with any other company or holding or subsidiary or associate company of such other company or otherwise.

IV. RESOURCES

4.1 Funding and Allocation

For achieving its CSR objectives through implementation of CSR Projects, we will allocate / spend an amount, in each financial year. The budgetary allocation will be based on the profitability of the Companies and in compliance with the requirements of applicable laws ,to be read along with amendments  from time to time (“Annual CSR Budgets”)

4.1.1 From the Annual CSR Budgets, provisions will be made towards expenditures in one or more of the CSR Projects, on an ongoing basis.
 
4.1.2 In addition to the CSR Projects, the Annual CSR Budgets may also be utilized for any programme(s) related to the Focus Areas (as set out below), howsoever, in compliance with the Companies Act, 2013 and Companies (Corporate Social Responsibility Policy) Rules, 2014 and any notifications issued thereunder. It is hereby clarified that the CSR Projects undertaken pursuant to this Policy shall be based on project/ programme mode, or activities (either new or ongoing), excluding activities undertaken in pursuance of its normal course of business activities.  One-off events such as marathons/ awards/ charitable contribution/ advertisement/ sponsorships of television programmes etc. would not be qualified as expenditure towards the CSR Projects under this Policy.

4.1.3 Any unspent / unutilized CSR allocation of a particular year will be carried forward to following financial year, to the extent permissible under applicable law.  However, any such unspent/ unutilized CSR allocation of a particular year may be deposited with the Prime Ministers Fund, if deemed fit. Any unspent surplus shall not form part of the business profits of G4S India.  

V. OUR FOCUS AREAS

5.1 Food, Water and Shelter

We support programmes to deliver the essentials to people, communities and areas in need, i.e. food, water and shelter. We believe in investing in and collaborating with partners with innovative solutions that help people improve their lives.

We focus on education, training and economic empowerment programmes and partnerships to connect populations with information and opportunities they need to thrive. We believe in investing in partner organisations with real and innovative solutions to persistent problems.

5.2 Health Care, Safety & Security

Nothing is more important than the health, well being, safety and security of families and children. At G4S India, we aim to use our services and programmes to give families and individuals access to healthcare facilities and to keep families safe and secure wherever they live, work and travel including dedicated attention and focus to provide women education and safety.

We work with leading child safety partners around the country to develop programmes that educate teachers, parents, guardians and children on how to reduce risks of accident, abduction and abuse of women and children. We work towards achieving our vision of keeping women and children safe today so that they can thrive, prosper and succeed tomorrow.

In this regard, we at G4S India propose to give special emphasis to the welfare of the girl child including taking steps to improve their health, well being and ensuring a secure environment for them to grow. 

Health & Safety For Women

Nothing is more important than the health, safety and security of women. We aim to use our services and programs to give women access to safety and to keep their families safe and secure wherever they live, work and travel.

We work with leading women and child safety partners around the country to develop programs that educate teachers, parents, guardians, women and children on how to reduce risks of accident, abduction and abuse of women and children. We work towards achieving our vision of keeping women and children safe today so that they can thrive, prosper and succeed tomorrow.

5.3 Education

At G4S India, we understand the importance of inspiring women and preparing the next generation with well-equipped knowledge. We also propose to encourage the participation of the girl child in our education initiatives. Through our CSR initiatives, we shall provide academic and material support to the girl child to enable them to complete their education.  

Our education programmes and partnerships improve access to quality education for women and children in India. We support education, uniform, reading material, mid-day meals of children of prison inmates and underprivileged section of the society, across the country. 

5.4 Road Safety & Trauma Care

G4S India seeks to support/ promote road safety through educating and promoting awareness among the masses on road usage. We believe in investing in and collaborating with partners with innovative solutions to develop trauma care centers around highways to help people in cases of road accidents.

5.5 Disaster Relief & Rural Development

In addition to the activities set out above, we are committed to provide assistance for disaster management and relief across the country. In pursuit of the aforementioned endeavor, we are committed to provide for medical aid and assistance in disaster struck areas, supply free food and clean drinking water to families and children. 

We intend on working with leading organizations to contribute towards rural development projects in India.  

VI. MONITORING

6.1 To ensure effective implementation of the CSR Projects undertaken, a monitoring mechanism will be put in place by the CSR Committees of the Boards. The progress of CSR Projects under implementation will be reported to the CSR Committees on a regular basis. The CSR Committees shall procure reports, at regular intervals, from registered trust/ societies /Companies etc, to whom funds are allocated for undertaking CSR activities / programmes.

6.2 CSR Committees may also obtain feedback from beneficiaries about the programmes.

6.3  Appropriate documentation of this policy, annual CSR activity and expenduture entailed will be undertaken on a regular basis.

6.4 CSR initiatives will also be reported in annual reports of respective Companies.

VII. BUDGET

7.1 For achieving the CSR objectives through implementation of meaningful and sustainable CSR programmes in accordance with this Policy, we are committed to allocate at least 2% of the average net profits made by the respective Companies during the three immediately preceding financial years, as its Annual CSR Budget.

7.2 For achieving our CSR objectives through implementation of meaningful programmes in line with this Policy, we may allocate funds earmarked for CSR projects   to the registered trust(s)/ societies/companies etc., who will implement programmes, directly or indirectly, including in collaboration with third party organisations with the requisite credentials.

VIII. GENERAL 

8.1 All provisions of the CSR Policy would be subject to revision/amendment in accordance with the applicable laws. 

8.2 The Company reserves the right to modify, cancel, add, or amend this CSR Policy. 

IX. REVIEW OF THE POLICY 

The CSR Committee shall review the CSR Policy from time to time based on the changing needs and make suitable modifications as may be necessary with the approval of the Board.
