The company was notified today that, on 15 June 2010, the following ordinary shares of G4S plc were acquired by directors of and other persons discharging managerial responsibility within G4S plc as result of a vesting of shares awarded under the company’s performance share plan. The deemed value of the shares in each case was £2.8041 per share:

Trevor Dighton: 116,468 shares

Grahame Gibson: 358,778 shares

Persons discharging managerial responsibilities (PDMRs)

Irene Cowden: 46,141 shares

Søren Lundsberg-Nielsen: 41,138 shares

Ken Niven: 49,091 shares

In each case sufficient numbers of such shares were sold to pay for the tax and national insurance contributions due in respect of the vesting of the shares and, after that sale, the directors and PDMRs retained the following numbers of shares from the vesting:
