The company was notified on 25 March 2011 that, on that day, the following ordinary shares of G4S plc were acquired by directors of and other persons discharging managerial responsibility (“PDMRs”) within G4S plc as result of the release of shares awarded in March 2008 under the company’s performance share plan and, in some cases, deferred shares relating to the company’s annual bonus scheme relating to the period ending 31 December 2007:

In each case (other than Mr van de Ven’s) sufficient numbers of such shares were sold to pay for the tax and national insurance contributions due in respect of the release of the shares and, in addition, Messrs Buckles and Levinsohn sold half of the remaining shares which had been released to them and Ms McGrath and Mr Gibson sold all of the rest of the shares which were released to them. After these sales, the PDMRs retained the following numbers of shares from the vesting:
