Group 4 Securicor, the international security solutions group formed from the merger in July 2004 of Securicor plc and Group 4 Falck A/S, announces that it has signed definitive agreements for the sale to Brink’s of Securicor Luxembourg S.A. and the Scottish business, Group 4 Falck Cash Services UK Limited, for an aggregate consideration of Euro 29.5 million.
Disposal of Securicor Luxembourg and Group 4 Falck Scotland
These two disposals reflect undertakings given to the European Commission by Securicor and Group 4 Falck that they would divest the above two businesses, as well as the manned security business of Falck Security in the Netherlands, as conditions for receipt from the Commission of approval for their merger.
The two businesses were treated as if discontinued in the interim results of Group 4 Securicor published on 22 September 2004 and their disposal will have no material impact on the group.
The agreements with Brink’s are subject to customary closing conditions, as well as to review and approval by the European Commission.
The Netherlands business referred to above will be sold separately in due course.
